Rules and Standards Governing Platform Use

1. Introduction and Purpose

BrandBridg Inc. ("Company," "BrandBridg," "we," "our," or "us"), parent company and operator of the TwoBit influencer marketing platform (the "Platform"), has established this Acceptable Use Policy ("AUP") to protect the integrity, security, and reputation of the Platform and to ensure a safe, professional, and compliant environment for all Users.

This AUP applies to all Users of the Platform, including Brands, Creators, and any other person or entity accessing the Platform. This AUP is incorporated by reference into the Terms of Service and constitutes a binding agreement between you and BrandBridg. Capitalized terms not defined herein shall have the meanings set forth in the Terms of Service.

Violation of this AUP may result in immediate suspension or termination of your account, forfeiture of outstanding payments, legal action, and reporting to law enforcement or regulatory authorities where appropriate.

2. Prohibited Conduct

2.1 Fraudulent and Deceptive Practices

Users must not engage in any fraudulent, deceptive, or misleading conduct, including but not limited to:

  • Misrepresenting your identity, business, audience size, engagement metrics, reach, demographics, or any other material information
  • Creating, purchasing, or using fake followers, bots, or artificial engagement metrics on any social media platform
  • Submitting fabricated campaign performance data, engagement analytics, or audience insights
  • Making false claims about products, services, affiliations, endorsements, or credentials
  • Impersonating any person or entity, including other Users, BrandBridg personnel, or public figures
  • Engaging in shill bidding, artificial price manipulation, or coordinated campaign rigging
  • Creating multiple accounts to circumvent restrictions, gain unfair advantages, or manipulate Platform algorithms
  • Misrepresenting the authorship, originality, or rights to any Content submitted on the Platform

2.2 Intellectual Property Violations

Users must not:

  • Upload, publish, or transmit any Content that infringes the copyrights, trademarks, patents, trade secrets, or other intellectual property rights of any third party
  • Use third-party brand names, logos, or trademarks without express written authorization from the rights holder
  • Reproduce, distribute, display, or create derivative works from Content protected by intellectual property rights without proper authorization
  • Circumvent, remove, or alter any technological protection measures, rights management information, or copyright notices
  • Use the Platform to facilitate unauthorized distribution of copyrighted materials

2.3 Unlawful Content and Activities

Users must not upload, transmit, or otherwise make available Content or engage in activities that:

  • Are defamatory, libelous, or constitute trade libel
  • Are obscene, pornographic, sexually explicit, or contain nudity
  • Depict or promote violence, self-harm, or harmful activities
  • Constitute hate speech, harassment, bullying, or incitement of discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics
  • Promote or facilitate illegal activity, including but not limited to drug trafficking, weapons sales, money laundering, human trafficking, or fraud
  • Violate any applicable federal, state, local, or international law or regulation
  • Contain or transmit malware, viruses, ransomware, spyware, or other malicious code

2.4 Advertising and Endorsement Compliance

All Creators must comply with applicable advertising disclosure requirements, including:

  • Full compliance with the Federal Trade Commission (FTC) Endorsement Guides (16 C.F.R. Part 255), including clear and conspicuous disclosure of material connections with Brands (e.g., #ad, #sponsored, #partner)
  • Compliance with applicable platform-specific advertising policies (Instagram, TikTok, YouTube, etc.)
  • Honest and accurate representation of products and services in all sponsored content
  • Prohibition on making false or unsubstantiated claims about products or services
  • Compliance with applicable laws governing advertising to minors
  • Adherence to all applicable disclosure requirements under the laws of the Creator's jurisdiction

Brands are responsible for ensuring that their Campaign briefs and Partnership Agreements include sufficient disclosure requirements and that they do not instruct Creators to engage in any form of deceptive advertising.

2.5 Security and System Integrity

Users must not:

  • Attempt to gain unauthorized access to the Platform, other User accounts, servers, networks, or systems associated with the Platform
  • Probe, scan, or test the vulnerability of any Platform system or network without BrandBridg's prior written authorization
  • Circumvent, disable, or otherwise interfere with any security-related features of the Platform
  • Use automated tools, bots, scrapers, or crawlers to access, extract, or interact with the Platform without express written permission
  • Interfere with, disrupt, or create an undue burden on the Platform's infrastructure or servers
  • Engage in denial-of-service attacks or similar attacks against the Platform
  • Exploit any vulnerability, bug, or error in the Platform for unauthorized advantage
  • Reverse engineer, decompile, or attempt to extract the source code or trade secrets of the Platform or Proprietary Algorithm

2.6 Platform Circumvention

To maintain the integrity of the Platform and its commercial relationships:

  • Users discovered through a Platform Match or Campaign introduction may not conduct influencer marketing transactions outside the Platform without the prior written consent of BrandBridg for a period of twelve (12) months following the initial introduction
  • Users must not share contact information in Platform communications with the explicit intent of circumventing Platform transactions
  • Users must not attempt to redirect business relationships established through the Platform to competitor platforms or off-platform arrangements in circumvention of Platform obligations

2.7 Contract and Payment Integrity

In connection with Partnership Agreements and Platform payments, Users must not:

  • Execute Partnership Agreements with no genuine intent to fulfill obligations thereunder
  • Attempt to dispute or reverse valid Creator Payments through improper means, including fraudulent payment chargebacks
  • Submit false invoices, inflate deliverable counts, or otherwise misrepresent fulfillment of Partnership Agreement obligations
  • Fail to disclose conflicts of interest that may affect the integrity of a Campaign collaboration

2.8 Messaging and Communication Standards

When using the Platform's in-Platform messaging system, Users must not:

  • Send unsolicited commercial messages, spam, or bulk communications
  • Harass, threaten, intimidate, or abuse other Users
  • Share personal contact information for the purpose of circumventing Platform communications requirements
  • Transmit phishing links, malicious URLs, or fraudulent communications
  • Use automated tools to send messages without BrandBridg's prior written consent

2.9 Content Calendar Misuse

Users must not use the Content Calendar feature to:

  • Schedule or coordinate Content that violates this AUP or applicable law
  • Manipulate posting schedules in a deceptive manner
  • Input misleading or fabricated campaign deliverable timelines

2.10 Subscription Limit Circumvention

BrandBridg's Subscription Plans are designed to fairly reflect the scale at which a Brand operates on the Platform. Users must not engage in any conduct intended to artificially remain within a lower Subscription Plan tier while effectively operating at a scale that exceeds that tier's intended limits. Prohibited conduct includes, without limitation:

  • Repeatedly completing and reopening Campaigns in rapid succession with the primary purpose of cycling Active Campaign slots to avoid purchasing additional Active Campaign capacity or upgrading to a higher Subscription Plan tier.
  • Repeatedly archiving and re-activating Partnered Creators with the primary purpose of cycling Partnered Creator seats to avoid purchasing additional Partnered Creator capacity or upgrading to a higher Subscription Plan tier.
  • Coordinating Campaign or Creator status changes across multiple accounts or Seats to artificially suppress usage metrics.
  • Using any other method, workaround, or technical mechanism to circumvent, manipulate, or otherwise avoid enforcement of Usage Capacity limits.

BrandBridg monitors usage patterns and reserves the right, in its sole discretion, to: (i) flag accounts exhibiting patterns consistent with subscription limit circumvention; (ii) require the Brand to upgrade to a higher Subscription Plan tier commensurate with its actual scale of usage; (iii) suspend or restrict access to Platform features where circumvention is suspected; and (iv) terminate accounts where circumvention is confirmed following notice and an opportunity to cure. BrandBridg's determination of circumvention shall be based on an assessment of usage frequency, pattern, and context, and shall not be triggered by isolated or incidental status changes reflecting genuine operational decisions.

3. Content Standards

3.1 Required Standards

All Content submitted to or distributed through the Platform must:

  • Be accurate and not misleading
  • Comply with all applicable laws and regulations
  • Comply with Platform-specific guidelines and the terms of applicable Partnership Agreements
  • Include all legally required disclosures, including sponsored content disclosures
  • Respect the intellectual property, privacy, and other legal rights of third parties

3.2 Content Review

BrandBridg reserves the right, but assumes no obligation, to review, monitor, and remove Content that we determine, in our sole discretion, violates this AUP or is otherwise objectionable. Our decision to review or remove Content in one instance does not create an obligation to do so in other instances.

4. Platform Integrity and Reputation

Users agree not to take any action that could damage the reputation, goodwill, or business interests of BrandBridg, including making false, misleading, or disparaging public statements about the Platform, its services, its personnel, or other Users. Users shall conduct themselves in a professional manner consistent with industry standards for influencer marketing.

5. Reporting Violations

We rely on our User community to help us maintain the integrity of the Platform. If you become aware of any conduct that appears to violate this AUP, please report it to our Trust & Safety team at:

Reports should include: (i) a description of the suspected violation; (ii) the relevant User(s) involved; (iii) any supporting evidence; and (iv) your contact information. BrandBridg will investigate all credible reports and take appropriate action. We maintain the confidentiality of reports to the extent practicable under the circumstances.

BrandBridg will not retaliate against Users who make good-faith reports of violations. False or malicious reports made in bad faith may themselves constitute a violation of this AUP.

6. Enforcement

6.1 Enforcement Actions

BrandBridg reserves the right to take any of the following actions in response to violations of this AUP, at our sole discretion:

  • Issue a written warning to the offending User
  • Temporarily restrict or suspend account functionality
  • Permanently terminate the offending User's account
  • Remove or withhold Content or Campaign materials
  • Cancel or void pending Partnership Agreements
  • Withhold or reverse payments in cases of fraud or material breach
  • Report conduct to relevant law enforcement or regulatory authorities
  • Take legal action, including seeking injunctive relief and monetary damages

6.2 Appeal Process

If you believe your account has been suspended or terminated in error, you may submit an appeal to support@twobitco.com within fourteen (14) days of the enforcement action. Your appeal should include a description of why you believe the enforcement action was incorrect and any supporting documentation. BrandBridg will review the appeal in good faith and provide a final decision within thirty (30) days.

7. Updates to This Policy

BrandBridg may revise this AUP at any time. Material changes will be communicated to registered Users via email or through the Platform interface with reasonable advance notice. Continued use of the Platform following the effective date of any revision constitutes acceptance of the updated AUP. We encourage you to review this AUP periodically.
